Terms of Service

Last updated: October 13, 2026

1. About these terms

These Terms of Service (the “Terms”) are an agreement between VenueDB (“we,” “us”) and the business or person that creates a VenueDB account (“you”). They cover your use of the VenueDB website and application (the “Service”). By creating an account, clicking to agree, or using the Service, you accept these Terms and our Privacy Policy. If you are accepting for a company, you confirm you have authority to bind it.

The Service is for business use by venues and their teams, and you must be at least 18. If you do not agree to these Terms, do not use the Service.

2. The Service

VenueDB helps venues manage leads, events, clients, contracts, invoices, payments and related day-of details. We keep improving the Service and may add, change or remove features. If we make a change that materially reduces what a paid plan includes, we will give you reasonable notice. Features we label as beta or preview may be incomplete and may change or be withdrawn.

3. Your account

  • Give us accurate information and keep it up to date.
  • You are responsible for everything that happens under your account, including the people you invite and the roles you give them. Remove people who should no longer have access.
  • Keep your sign-in details confidential, use a strong unique password, and turn on two-step verification. Tell us right away at support@venuedb.app if you suspect unauthorized access.
  • One person should not share a login with another. Each team member should have their own.

4. Free trial, plans and billing

New accounts start with a free trial (currently 14 days, no card required). When the trial ends you will need to choose a paid plan to keep using the Service; if you do not, we may limit or suspend access to your account.

Paid plans are billed in advance, monthly or annually as you choose, through our payment provider, Stripe. Prices and plan limits are shown on our website and at checkout. Fees do not include taxes, which we will add where required. Plans renew automatically until you cancel. You can cancel at any time from your billing settings and the cancellation takes effect at the end of the period you have already paid for. We may change prices on notice before your next renewal.

Except where the law requires otherwise or we tell you differently, fees already paid are not refundable, but we may issue refunds or credits at our discretion. If a payment fails we may retry it and, if it stays unpaid, suspend the account.

5. Your data

You own it. You keep all rights in the information and files you put into the Service, including information about your clients, guests, vendors and events (“Your Data”). You give us a limited license to host, copy, process, transmit and display Your Data only as needed to provide and protect the Service, to support you, and as described in our Privacy Policy.

You are responsible for it. You promise that you have the rights and permissions needed to put Your Data in the Service and to have us process it for you. That includes giving your clients and guests any notices and obtaining any consents the law requires, including for emails and marketing you send through the Service. We process personal information in Your Data on your behalf and on your instructions. Our Data Processing Agreement applies automatically to that processing, and our subprocessors are listed on their own page.

Export. You can export much of Your Data from the Service, and you can contact us for help. See the Privacy Policy for how long we keep data after an account closes.

6. Acceptable use

You agree not to, and not to let anyone else:

  • use the Service for anything unlawful, fraudulent, harassing, or that infringes someone else’s rights;
  • send spam or unsolicited bulk email, or send email that breaks anti-spam laws, through the Service or a connected mailbox;
  • upload malware, or content that is unlawful or that you have no right to share;
  • probe, scan or test the security of the Service, bypass access limits, or try to access another customer’s data;
  • overload or disrupt the Service, scrape it, or use the API or webhooks in a way that exceeds reasonable limits or the documented rate limits;
  • reverse engineer the Service except where the law allows it, or use it to build a competing product;
  • resell or provide the Service to others except as part of running your own venue business.

Keep any API keys and webhook secrets confidential. You are responsible for activity that uses them.

7. Contracts, e-signatures and documents

VenueDB provides tools for creating documents, sending them for electronic signature and recording the result. We are not a law firm, we are not a party to your contracts with your clients, and nothing in the Service is legal, tax or accounting advice. You are responsible for the content of your contracts and templates, for making sure they are lawful and enforceable where you operate, and for how you use electronic signatures. Signing records we keep include the signer’s name, email, the signature provided and the time.

8. Payments between you and your clients

If you connect Stripe so clients can pay you, Stripe’s terms apply to those payments in addition to these Terms. Your connected Stripe account is your own: you are the seller of record, you are responsible for refunds, disputes and chargebacks, for Stripe’s fees, and for your tax obligations. VenueDB may charge a platform fee on payments processed through the Service, as disclosed to you in the product or on our pricing page. We are not responsible for Stripe’s services or for disputes between you and your clients.

9. Connected services and email

You can connect services such as Google (sign-in, Gmail, Calendar), another email account, and Stripe. Their own terms and privacy policies apply, and you can disconnect them at any time. If you connect a mailbox, you authorize VenueDB to send email as you and to read messages as described in the Privacy Policy, and you confirm you have the right to do so. We are not responsible for the services of third parties or for changes they make.

10. Support and availability

We work to keep the Service available and secure and to answer support requests promptly, but we do not promise uninterrupted or error-free operation. We may perform maintenance, and the Service may be unavailable from time to time. To help with a support request, a VenueDB staff member may open your account in a read-only support session with a written reason; each session is logged. We may also access information when needed to protect the Service, investigate abuse, or comply with the law.

11. Suspension and termination

You can stop using the Service and cancel at any time. We may suspend or end your access if you breach these Terms, fail to pay, or use the Service in a way that creates legal or security risk for us or others. Where practical we will tell you why and give you a chance to fix the problem first.

When an account ends, access is blocked and, after the grace period described in the Privacy Policy, Your Data is deleted (apart from records we must keep and copies in expiring backups). Export what you need before you close the account. Sections that by their nature should continue (such as ownership, disclaimers, limits of liability and governing law) survive termination.

12. Our rights

The Service, including its software, design, and the VenueDB name and logo, belongs to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use the Service during your subscription, under these Terms. If you send us feedback or ideas, we may use them without obligation to you.

13. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements or that it will be uninterrupted, secure or free of errors. You are responsible for checking that your bookings, contracts, invoices and schedules are correct.

14. Limitation of liability

To the fullest extent the law allows, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, arising out of these Terms or the Service, even if told of the possibility. Our total liability for all claims relating to the Service will not exceed the amount you paid us in the 12 months before the event giving rise to the claim. Some places do not allow these limits, so they apply to you only as far as the law permits. Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnity

You will defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from Your Data, from your breach of these Terms, or from your use of the Service in violation of the law or someone else’s rights, including disputes between you and your clients, guests or vendors. We will tell you promptly about any claim and reasonably cooperate, at your expense.

16. Changes to these terms

We may update these Terms. If a change is material, we will give you at least 30 days’ notice by email or in the app before it takes effect, unless the change is required by law or made to address a security issue. If you keep using the Service after the effective date, you accept the updated Terms. If you do not agree, you can cancel before then.

17. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in that state, and you and we consent to their jurisdiction. Before filing a claim, please contact us at support@venuedb.app so we can try to resolve it informally.

18. General

  • These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
  • If a provision is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it.
  • You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a merger, acquisition or sale of assets.
  • We will give notices to the email address on your account or in the app. Send notices to us at support@venuedb.app.
  • Neither of us is liable for a delay or failure caused by events beyond our reasonable control.
